By using this web site and placing an order you confirm your agreement to our terms and conditions as set out below. If you do not agree to the terms and conditions you may not use this web site or place an order. Please read these carefully.


Conditions

An order placed by you, the buyer, through our web site shall be subject to these terms and conditions. Nothing in these terms and conditions shall affect the statutory rights of any consumer. Our tree planting project is designed to support customers who have purchased light fittings from the F.W. Thorpe Plc group of companies and we reserve the right to refuse your order if you have not purchased light fittings. Carbon offsetting should be part of a plan which includes a complete review of the energy use of an installation. Most importantly, you should first minimise your carbon footprint. Plan your lighting scheme using the most energy efficient solution that is practical for your application. Use automatic controls that take advantage of daylight ingress and use presence detection. Such controls may offer the added benefit of extended lamp life. If you require assistance please make contact with one of our local representatives.


Orders

Once an order by e-mail is accepted a contract will be formed between you, the buyer and F.W. Thorpe Plc on behalf of Thorlux Lighting. All orders shall be deemed to be an offer by you, the buyer, to purchase pursuant to these terms and conditions. You, the buyer, shall be responsible for ensuring the accuracy of the details provided on the order form. We may contact you to provide further information to enable your order to be evaluated or processed. We are entitled to refuse any order, or any part of an order placed.


Price and Delivery

The price will be the price quoted on the web site at the date the order is received and will include VAT where applicable. Price and availability information is subject to change without notice. Groups of trees will be typically planted on a biannual basis or as demand requires and will usually be facilitated by F.W. Thorpe Plc appointed sub-contractors. The first planting is planned for Spring 2009 but may be delayed until Autumn 2009 whilst grant applications and design approval is obtained. Trees will be generally native broad leaf varieties but species may vary according to planting requirements and advice received from the silviculturalists. Trees will be planted in quantities at least according to your order and will remain the property of F.W. Thorpe Plc. F.W. Thorpe Plc will take all reasonable precautions to ensure the suitability of the tree planting project and takes its responsibility very carefully however no guarantee of longevity can be provided.


Payment

When you, the buyer, place an order under these terms and conditions payment will be charged to the debit card or credit card account provided by you on the web site order form. By placing an order, you, the buyer, consent to payment being charged to your debit card or credit card account as provided on the order form. On receipt of your order we will process your payment manually and then issue a confirmation e-mail and PDF certificate.


Disclaimers and Limitation on F.W. Thorpe Plc Liability

All terms, conditions, warranties and representations (whether implied or made expressly) whether by F.W. Thorpe Plc trading as Thorlux Lighting its servants or agents or otherwise relating to the information and materials (including but not limited to, implied warranties or representations, accuracy, availability, satisfactory quality, or fitness for a particular purpose) contained in this site are excluded to the fullest extent permitted by law. Except where you, the buyer are dealing as consumer (as defined in the Unfair Contract Terms Act 1977 section 12 as amended) we do not give any warranty, guarantee or indemnity as to quality, fitness for purpose or otherwise of the service supplied. Except in respect of death or personal injury caused by our negligence, we will not be liable to you, the buyer, for any loss of profit or any indirect special or consequential loss, damage, costs, expenses or other claims, which arise out of or in connection with the supply of services other than as a result of a breach of an obligation arising under the Sale of Goods Act 1979 (as amended) and the Supply of Goods and Services Act 1973.

Intellectual Property

All copyright, trademarks and other intellectual property rights in this web site and any service marks, trade names and brands included in that material belongs to F.W. Thorpe Plc or its subsidiaries or affiliated companies and or third-party licensors. You may make one download or take one copy of the content and other down-loadable items displayed on the web site subject to the condition that the material may only be used for personal non-commercial purposes. Copying or storing the contents of the web site for other than personal use is expressly prohibited.

We will attempt to ensure that the information available on the web site at any time is accurate. However, we will not be held liable for any errors or omissions. General

We may from time to time change, alter, adapt, add or remove portions of these terms and conditions but if we do so we will post any such changes on the web site. If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of this Agreement and the remainder of the provision in question will not be affected. English law will apply to this Agreement, and the parties agree to submit to the non-exclusive jurisdiction of the English courts. The headings in this Agreement are for convenience only and will not affect their interpretation.
